These terms govern your participation in the PacaBot referral program. By signing up as a marketer, sharing your referral code, or accepting a commission payout, you agree to be bound by every clause below.
To register and remain an active Marketer you must:
Your referral code is a unique 8-character alphanumeric string issued to you upon registration. You are responsible for how it is used. The following are strictly prohibited and will result in the actions set out in Section 8 (Fraud):
You earn a Commission ONLY when a Referred Client completes a Successful First Payment. Signup does not earn Commission. Starting a Trial does not earn Commission. A cancelled Trial does not earn Commission. A failed first charge does not earn Commission. The Commission is booked to your account the moment the day-4 auto-charge (or later immediate-subscribe charge) settles as PAID against the Referred Client's card.
Standard Commission rate: 20% of the Referred Client's first month of subscription revenue, unless a different rate is agreed in writing between you and PacaBot before the Referred Client's checkout.
For a Referred Client on the standard monthly plan, the first-month Commission is SAR 100 (10,000 halalas). For a Referred Client who buys the annual plan upfront, the Commission is SAR 1,200 (120,000 halalas), booked as a single row against the annual collection. Amounts are computed and stored in halalas at the moment of accrual so a future rate change does not rewrite history.
The setup fee (SAR 5,000 one-time) is excluded from the Commission base. Only subscription revenue is commissioned.
Renewals beyond the first billed period are governed by any separate written agreement between you and PacaBot. The default program pays Commission on the first billed period only.
If the Referred Client's first payment is refunded, reversed, disputed, or successfully charged back within 30 days of settlement, the associated Commission is subject to clawback.
Clawback mechanics:
Method. Payouts are made exclusively via bank transfer in Saudi Riyals (SAR) to the Saudi IBAN you registered on your marketer account. It is your responsibility to keep this IBAN current via the marketer portal's "Update IBAN" page. PacaBot does not pay by cheque, cash, cryptocurrency, or third-party wallet, and does not remit to non-Saudi IBANs.
Schedule. Payouts are initiated manually by PacaBot operations after review of the accrued Commission ledger. Commissions accumulate in your marketer dashboard under "Earnings" as they settle. There is no fixed minimum payout threshold enforced in code; PacaBot targets a monthly payout cadence but reserves the right to batch, defer, or accelerate a payout at its discretion, subject to Section 5 (Clawback) and Section 8 (Fraud).
Currency and rounding. All internal amounts are stored in halalas (1 SAR = 100 halalas). Payouts are made in whole SAR; sub-riyal amounts carry forward to the next payout.
Records. Every Payout is recorded in the ledger with the flipping admin's identity, the periods paid, and the total halalas. You may request a statement at any time via the contact address in Section 12.
You are solely responsible for any income tax, VAT, Zakat, withholding, or other levy that applies to the Commissions you receive under this program, whether in the Kingdom of Saudi Arabia or in any other jurisdiction to which you are subject. PacaBot pays gross of your personal or business tax obligations and will not gross-up any Payout for taxes.
If applicable law requires PacaBot to withhold any amount from a Payout to you, we will withhold it and remit it to the relevant authority, and the Payout you receive will be reduced by the withheld amount.
Any breach of Section 3 (Referral Code Usage Rules), any attempt to game the accrual system, any coordinated abuse with a Referred Client, or any act of dishonesty in your dealings with PacaBot is grounds for immediate forfeiture of all accrued-but-unpaid Commissions and permanent suspension of your marketer account.
Where fraud has already resulted in a Payout, PacaBot may pursue full recovery through the civil courts of the Kingdom of Saudi Arabia and, where warranted, refer the matter to the appropriate criminal authorities.
PacaBot reserves the right to modify this program at any time — including but not limited to changing Commission rates, adjusting the accrual trigger, revising the payout cadence, or terminating the program entirely — upon at least 14 days' prior notice by email to your registered address, except where a shorter notice is required by law or to address active fraud.
You may terminate your participation at any time by emailing the contact address in Section 12 and requesting deactivation. Termination by either party does not affect Commissions that have already accrued and are not subject to clawback under Section 5.
PacaBot may also suspend or terminate your account for any material breach of these terms, with immediate effect and without notice in cases of fraud, security threat, or explicit prohibited conduct.
To the maximum extent permitted by law, PacaBot's total aggregate liability to you under this program is capped at the total Commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim.
PacaBot is not liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including but not limited to lost profits, lost business opportunity, or loss of anticipated Commissions on Referred Clients whose subscriptions did not convert.
Nothing in this section limits any liability that cannot lawfully be limited under Saudi law.
These terms are governed by, and construed in accordance with, the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with this program shall be resolved by the competent courts of the Kingdom of Saudi Arabia. Before commencing formal proceedings, the parties agree to attempt in good faith to resolve the dispute amicably within 30 days of a written notice of dispute.
